# JUICED TERMS OF SERVICE **Last Updated: December 2024** These Terms of Service ("Terms") govern your use of the Juiced platform, including our SMS-based interface, website, and related services (collectively, the "Service"), operated by Juiced Holdings LLC ("Juiced," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. --- ## 1. ELIGIBILITY To use Juiced, you must: - Be at least 18 years old - Be a legal resident of the United States (excluding Washington State and any other jurisdiction where participation is prohibited) - Not be an employee, contractor, officer, or immediate family member of Juiced Holdings LLC By using the Service, you represent and warrant that you meet all eligibility requirements. We reserve the right to verify your identity and eligibility at any time. --- ## 2. ACCOUNT REGISTRATION You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to: - Provide truthful registration information - Maintain only one account - Notify us immediately of any unauthorized access - Not share your account with others We may suspend or terminate accounts that violate these Terms or that we reasonably believe are fraudulent. --- ## 3. TWO-CURRENCY SYSTEM Juiced operates a dual-currency system consisting of Juiced Coins and Juiced Bucks. These are separate and distinct currencies with different purposes. ### Juiced Coins (JC) - May be purchased with real money at a rate of 1,000 JC per $1.00 USD - Are an entertainment-only virtual currency - May be used for play-money contests, leaderboards, and cosmetic features - Have no cash value and cannot be redeemed for money - Cannot be used to place sweepstakes entries - Are non-refundable and non-transferable ### Juiced Bucks (JB) - Cannot be purchased directly with money - Are free sweepstakes entries provided as: - A promotional bonus when purchasing Juiced Coins (1 JB per $1.00 spent on JC) - Welcome bonuses for new users - Daily free bonuses - AMOE (Alternate Method of Entry) requests - Prizes won in sweepstakes contests - May be used to make predictions on sporting events - May be redeemed for cash prizes at a fixed rate of 1 JB = $1.00 USD - Are non-transferable between users **IMPORTANT: Purchasing Juiced Coins does not increase your odds of winning Juiced Bucks or any prize. Juiced Bucks are always available for free through the methods described above.** --- ## 4. SWEEPSTAKES ENTRIES AND PREDICTIONS Using Juiced Bucks, you may make predictions on listed sporting events. Each prediction constitutes a sweepstakes entry. Entries must be submitted before the posted deadline for each event. - All predictions are final once confirmed - Late, incomplete, or fraudulent entries are void - Maximum entry limits may apply to individual contests - We reserve the right to void entries that violate these Terms Odds of winning depend entirely on the number of eligible entries received and the outcome of the relevant sporting events. A purchase never improves your odds of winning. --- ## 5. DEPOSITS AND PURCHASES ### Purchasing Juiced Coins You may purchase Juiced Coins using approved payment methods, currently including Venmo. Additional payment methods may be added. When making a deposit: - Send payment to the designated Juiced payment account - Include your User ID in the transaction note - Funds will be credited within approximately 15 seconds of confirmation All purchases of Juiced Coins are final and non-refundable except as required by law. ### Bonus Juiced Bucks When you purchase Juiced Coins, you will automatically receive Juiced Bucks as a free promotional bonus at the current promotional rate. This bonus is provided at our discretion and may be modified at any time. --- ## 6. PRIZE REDEMPTION (WITHDRAWALS) You may redeem your Juiced Bucks balance for cash prizes subject to the following: ### Eligibility - If you have made any purchase of Juiced Coins, you may redeem your full JB balance at any time - If you have only received free JB (welcome bonus, daily bonus, AMOE), you must place at least $50 worth of predictions before redeeming prizes ### Redemption Process To redeem prizes, you must provide: - Your payment account handle (e.g., Venmo username) - The last 4 digits of the phone number associated with your payment account - The amount you wish to redeem Prize redemptions are typically processed within 10 minutes but may take up to 5 business days. ### Limitations - Juiced Coins (JC) cannot be redeemed for cash under any circumstances - We reserve the right to verify your identity before processing redemptions - We may delay or refuse redemptions if we suspect fraud or Terms violations --- ## 7. ALTERNATE METHOD OF ENTRY (AMOE) You may receive free Juiced Bucks without any purchase by: ### Daily Digital Bonus Claim 1 free JB every 24 hours through the Service. ### Mail-In Request Send a handwritten request to: Juiced Holdings LLC – AMOE Entry 2368 Rice Blvd, Suite 200 Houston, TX 77005 Your request must include: - Full legal name - Residential mailing address - Email address or mobile number associated with your Juiced account - Date of birth - A handwritten statement: "I request free Juiced Bucks for Sweepstakes entry. No purchase necessary." Limit one mail-in request per household per day. Valid requests will be credited within 5-10 business days. AMOE-acquired Juiced Bucks function identically to all other Juiced Bucks. There is no difference in value, utility, or odds. --- ## 8. PROHIBITED CONDUCT You agree not to: - Provide false or misleading information - Use the Service if you are under 18 or in a prohibited jurisdiction - Create multiple accounts - Use automated systems, bots, or scripts to interact with the Service - Attempt to manipulate contests or outcomes - Engage in collusion with other users - Use the Service for money laundering or other illegal purposes - Reverse engineer or attempt to access our systems - Harass other users or our staff - Circumvent any security measures We reserve the right to suspend or terminate your account and forfeit your balances if you engage in prohibited conduct. --- ## 9. INTELLECTUAL PROPERTY The Service, including all content, features, and functionality, is owned by Juiced Holdings LLC and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our written permission. --- ## 10. DISCLAIMER OF WARRANTIES THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. --- ## 11. LIMITATION OF LIABILITY TO THE MAXIMUM EXTENT PERMITTED BY LAW, JUICED HOLDINGS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER. --- ## 12. DISPUTE RESOLUTION AND ARBITRATION **PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.** ### Agreement to Arbitrate You and Juiced Holdings LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service ("Dispute") will be resolved exclusively through final and binding individual arbitration, rather than in court, except that either party may bring an individual action in small claims court if the claim qualifies. ### Waiver of Class Actions and Jury Trial **YOU AND JUICED AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.** You waive any right to a jury trial. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding. ### Arbitration Rules and Procedures Arbitration will be conducted by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration will be held in Laramie County, Wyoming, or another mutually agreed location. If your claim is for $10,000 or less, you may choose whether the arbitration proceeds in person, by telephone, or based solely on written submissions. ### Opt-Out You may opt out of this arbitration agreement by sending written notice to legal@juiced.com within 30 days of first accepting these Terms. Your notice must include your name, address, phone number, and a clear statement that you wish to opt out of arbitration. ### Survival This arbitration agreement will survive termination of your account and these Terms. --- ## 13. GOVERNING LAW These Terms and any Dispute shall be governed by the laws of the State of Wyoming, without regard to conflict of law principles. If arbitration is not applicable to a given Dispute, you agree to submit to the exclusive jurisdiction of the state and federal courts located in Laramie County, Wyoming. --- ## 14. INDEMNIFICATION You agree to indemnify, defend, and hold harmless Juiced Holdings LLC and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party. --- ## 15. MODIFICATIONS We may modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms and updating the "Last Updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms. --- ## 16. TERMINATION We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination: - Your right to use the Service immediately ceases - We may, at our discretion, allow you to redeem any remaining Juiced Bucks balance, subject to verification - Juiced Coins balances are forfeited upon termination for cause --- ## 17. RESPONSIBLE GAMING Juiced is committed to responsible gaming. ENTIRE AGREEMENT These Terms, together with our Privacy Policy and Official Sweepstakes Rules, constitute the entire agreement between you and Juiced Holdings LLC regarding your use of the Service. --- **BY USING JUICED, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE.**
